<p><a href="http://www.massnonprofit.org/index.php" target="_blank">MassNonprofit.org</a> posted on July 29, 2010 that over 8,000 Non-Profit Organizations in Massachusetts are at risk of losing their tax-exempt status because they failed to file required federal tax forms for the last 3 years.  Organizations that have not complied with federal filing requirements have until October 15, 2010 to preserve their tax status under a one time relief program.  Organizations that have not filed the required information returns by Oct. 15, 2010, will have their tax-exempt status revoked, and the IRS will publish a list of these revoked organizations in early 2011.</p>
<p>The IRS posted a list of NonProfit Organizations that are out of compliance and their last known addresses along with guidance how to come back into compliance.  You can see a complete list <a href="http://www.irs.gov/pub/irs-tege/ma.pdf" target="_blank">here.</a></p>
<p>For most small non-profits it&#8217;s simply a matter of going online to the IRS Website, supply the eight pieces of information for their 990-N form and file it before October 15, 2010.  For tax-exempt organizations eligible to file Form 990-EZ they must file their delinquent annual information returns by Oct. 15 and pay a compliance fee. <p>You may just be starting out, and doing important work for your community, or you may have decided to take part in a small group that is working for a cause, and the group needs to define what it is.  Is it a “club” that is informal and does not receive any official benefits, or do you want to take it to the next level?</p>
<p>A Non-profit is a legal entity, and the <a class="zem_slink" title="Internal Revenue Service" rel="wikipedia" href="http://en.wikipedia.org/wiki/Internal_Revenue_Service">IRS</a> can help you figure out what you are,<br />

<p>It is important, that a non profit must comply with federal, state, city, and county legal code, and if your plans include growth, you must plan for the time where the organization goes on without you.</p>
<p>Setting up a proper board, having by-laws, a <a class="zem_slink" title="Strategic planning" rel="wikipedia" href="http://en.wikipedia.org/wiki/Strategic_planning">strategic plan</a>, getting the proper tax status goes a long way to insuring that your non-profit will be credible.  Credibility leads itself to being able to find good <a class="zem_slink" title="Board of directors" rel="wikipedia" href="http://en.wikipedia.org/wiki/Board_of_directors">board members</a>, and the ability to solicit donations of any size.</p>
<p>Has your organization been keeping up with tax regulations?  Does your board provide you with the necessary skills for your nonprofit to succeed?  Do your <a class="zem_slink" title="Bylaw" rel="wikipedia" href="http://en.wikipedia.org/wiki/Bylaw">bylaws</a> , mission statement, clearly differentiate you from similar nonprofits?  Do your board members have nonprofit management, fundraising, legal, or other important relevant skills?</p>

<p><span style="font-family: Times New Roman; font-size: small;"> </span>On December 9, 2009, the United States Internal Revenue Service issued a “Governance Check Sheet” (the “Check Sheet”) and a related “Governance Project Guide Sheet for Completing the Project Check Sheet” (the “Guide Sheet”) to be used by IRS agents to capture data about governance practices and the related internal controls of tax-exempt organizations being examined.  The data from the study will be utilized by the IRS to get a better understanding of the intersection between the governance practices and tax compliance of tax-exempt organizations.  More importantly, the Check Sheet and the Guide Sheet can to be utilized by tax-exempt organizations to assess their governance practices.  The IRS continues to emphasize the importance of good governance practices to increase the likelihood that tax-exempt organizations will comply with applicable tax regulations, protect their charitable assets and serve their charitable beneficiaries.</p>
<p>The Check Sheet is broken down into the following categories: Governing Body and Management; Compensation; Organizational Control; Conflict of Interest; Financial Oversight; and Document Retention.  Some of the more notable questions on the Check Sheet include:</p>
<p style="padding-left: 30px;">* Does the organization have a written mission statement that articulates its current I.R.C. § 501(c)(3) purpose(s)?</p>
<p style="padding-left: 30px;">* Does the organization’s bylaws set forth the composition, duties, qualifications and voting rights of the members of the governing body and the organization’s officers?</p>
<p style="padding-left: 30px;">* Have copies of the most recent version of the entity’s Articles of Organization and bylaws been provided to the board members?</p>
<p style="padding-left: 30px;">* Are compensation arrangements for all officers, directors, trustees and key employees approved in advance by an authorized body of the organization composed of individuals with no conflict of interest with respect to their compensation arrangement?</p>
<p style="padding-left: 30px;">* Does the authorized body rely upon comparability data in making compensation determinations?</p>
<p style="padding-left: 30px;">* Do any of the organization’s voting board members have a family relationship and/or outside business relationship with any other voting or non-voting board member, officer, director, trustee or key employee?</p>
<p style="padding-left: 30px;">* Does the organization have a written Conflict of Interest Policy?</p>
<p style="padding-left: 30px;">* How often does the organization provide board members with a written report regarding the organization’s financial activities?</p>
<p style="padding-left: 30px;">* How often did the board discuss/consider reports of the organization’s financial activities?</p>
<p style="padding-left: 30px;">* Prior to filing, was the Form 990 reviewed by the full board and/or a designated committee?</p>
<p style="padding-left: 30px;">* Does the organization have a written policy for document retention and destruction?</p>
<p style="padding-left: 30px;">* Does the board contemporaneously document its meetings and retain such  documentation?</p>
<p>The Check Sheet can be a very useful tool for tax-exempt organizations to review their existing governance practices.</p>
